Click Terms of Service

Welcome to ClickTM ("the Click app"), a social circle app developed by Click Social LLC. By accessing or using Click, you agree to be bound by these Terms of Service ("Terms"). Please read these Terms carefully before using the App. These Terms govern your access to and use of the App and any services provided through the App.

1. Acceptance of Terms

By accessing or using the App, you agree to these Terms and our Privacy Policy. If you do not agree to these Terms or our Privacy Policy, you may not use the App.

2. Description of the App

Click is a social circle app that combines events, social media posting, and online dating functionalities into one platform. The App allows users to discover and attend events, connect with other users, share posts, and find dating options.

3. Eligibility

Click is a private community, meaning it is not open without restriction to the public. Instead, Click is only open for use by people who meet and comply with the following criteria. By creating an account on Click, you witness and agree that all of the following conditions are true for you, and that you will continue to adhere to these restrictions:

• You are at least 18 years old.
• You are not married or separated, and you are not a swinger. If you are getting divorced, your divorce must be final before you use Click. You agree and acknowledge that Click is a community for singles only.
• You will not use Click as a "hookup app". You agree and acknowledge that Click is a community for singles seeking deeper connection with others.
• You have never been convicted of a felony, domestic violence, or a sex offense.
• You accept that Click Dating features are available only to people who are interested in traditional dating (man seeks woman, or woman seeks man). Click Social LLC only has the resources to cover traditional dating. You acknowledge that you have the freedom to choose other dating apps (Hinge, Tinder, or Bumble) if you have more diverse identity needs or more diverse dating interests. Note that Click Social and non-dating Click Events features are open to all singles, regardless of gender identity or sexual orientation. However, regardless of sexual identity or orientation, it is a violation of the terms of service to create events that are sexual in nature or that are for the express purpose of finding hookup partners.)

• You have read, fully understand, and agree to all terms in this Click Terms of Service document, and in the Click privacy policy.

If at any point any of these conditions no longer apply to you (e.g. you get married, or you become convicted of a felony, domestic violence, or a sex offense, or you no longer agree to the terms of service) then you agree to immediately delete your Click account and desist from using Click.

4. User Accounts

To access certain features of the App, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

5. User Content

You are solely responsible for any content that you post, upload, transmit, or otherwise make available on the App ("User Content"). By posting User Content, you grant Click Social LLC a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform such User Content in connection with the App and Click Social LLC's business, including without limitation for promoting and redistributing part or all of the App (and derivative works thereof) in any media formats and through any media channels. You represent and warrant that you have all rights necessary to grant the licenses granted in this section and that your User Content does not violate any applicable laws or infringe upon the rights of any third party.

6. Prohibited Conduct

You agree not to post, upload, transmit, or otherwise make available:

• any User Content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable;
• any User Content that is overtly sexual in nature, including but not limited to nudity, depictions of sexual acts, sexually explicit language, posts or events that are sexual in nature, or posts or events whose purpose is to find hookup partners;
• any User Content that is violent, or promotes or incites violence, including but not limited to intentional or accidental violence or depictions of gore;
• any User Content that infringes any patent, trademark, trade secret, copyright, or other proprietary rights of any party;
• any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation;
• any material that promotes a commercial service or activity for which you or someone you are affiliated with receives compensation, unless that content is posted using a Click business account, or in a paid event listing;
• any material that is political in nature;
• any material that is inflammatory, misleading, highly contentious, or highly contested;

Furthermore you agree that you will not:

• Harrass, stalk, bully, or scam any other user.
• Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
• Interfere with or disrupt the operation of the Click app or Click servers.
• Use any data mining, robots, or similar data gathering or extraction methods to collect information from Click.
• Attempt to gain unauthorized access to any portion or feature of Click, or any other systems or networks connected to Click.
• Attempt to programmatically exfiltrate data from the Click server or Click database.
• Use Click to advertise or solicit any goods or services without our prior written consent.
• Violate any applicable laws or regulations.

7. Intellectual Property Rights

The App and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Click Social LLC or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

8. Privacy

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and disclose information about you.

9. Termination

We may terminate or suspend your access to the App without prior notice or liability for any reason, including if you breach these Terms. Upon termination, your right to use the App will immediately cease.

10. Disclaimer of Warranties

The App is provided "as is" and "as available" without any warranties of any kind, whether express or implied. To the fullest extent permitted by applicable law, Click Social LLC disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Click Social LLC does not warrant that the App will be uninterrupted or error-free, that defects will be corrected, or that the App or the server that makes it available are free of harmful content.

11. Limitation of Liability

You agree to never hold Click Social LLC, its affiliates, or their respective officers, directors, employees, or agents be liable for any indirect, consequential, special, incidental, punitive, or exemplary damages arising out of or in connection with your use of the App, whether based on breach of contract, tort (including negligence), harm incurred by other users, or otherwise, even if Click Social LLC has been advised of the possibility of such damages. In no event shall Click Social LLC's total liability to you for all damages, losses, and causes of action arising out of or relating to these Terms or your use of the App exceed the amount paid by you, if any, for accessing or using the App during the twelve (12) months preceding the date of the claim.

12. Indemnification

You agree to take full personal responsibility for your own safety from the potential harmful effects of the actions of other users, including but not limited to: being judicious about what private information or contact information you share; ensuring that you only meet other users in public places for dates or events; sharing your plans, times, locations, and identity of the person or people you have plans to meet with with a trusted friend beforehand; checking in with that friend during the date or event so that they know that you are OK; ensuring that nobody you meet with has unmonitored access to your clothes, belongings, or vehicle (so they cannot hide a tracker tag) or to your food or drink (so that they cannot administer a "rufi" drug). You will take appropriate measures to ensure that after a date or event, you are not followed home or to your next destination. (Unfortunately, we do have to worry about these things in today's world when we meet new people.)

You agree to indemnify, defend, and hold blameless Click Social LLC and its affiliates, and their respective officers, directors, employees, and agents, from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the App, your failure to take reasonable precautions to protect yourself from the harmful actions of other users, or from the harmful actions of other users. Furthermore you agree to waive your right and the right of anyone you are associated with to sue Click Social LLC or its owners, employees, or affiliates, for any loss, harm, injury, damage, or death incurred by your use of this app.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without giving effect to any principles of conflicts of law. Any dispute arising out of or relating to these Terms or your use of the App shall be exclusively resolved by binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association. The arbitration shall take place in San Francisco, California, and the arbitrator's award shall be final and binding upon the parties. Judgment on the arbitration award may be entered in any court having jurisdiction thereof.

14. Changes to Terms

We reserve the right to modify or update these Terms at any time, effective upon posting the modified Terms on the App. Your continued use of the App after any such changes shall constitute your consent to such changes.
